Welcome to Oto QR! We appreciate your choice to use our digital menu platform, designed to enhance service management for cafes, restaurants, and bars through innovative, user-friendly solutions. Please read these Terms and Conditions carefully as they govern your use of Oto QR's website, mobile applications, and services (collectively, the "Services"), and affect your legal rights and obligations.
Legal Entity
Oto QR is operated by “BEST OF YOU” SRL, a company duly registered in Moldova. These Terms, along with our Privacy Policy, constitute a binding agreement between you and “BEST OF YOU” SRL.
Registration and Account Integrity
- Account Creation: You must register and create an account to access certain features of our Services. You agree to provide accurate and complete information and keep this information updated.
- Account Security: You are responsible for maintaining the confidentiality of your account details and for all activities that occur under your account. Oto QR will not be liable for any loss or damage arising from your failure to secure your account.
License to Use
Subject to these Terms, Oto QR grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services. This license is for the sole purpose of enabling you to use our Services, in the manner permitted by these Terms. The use of the Services does not transfer any commercial or promotional use rights to you.
User Conduct
You must not misuse our Services. Prohibited actions include, but are not limited to:
- Reverse engineering, decompiling or disassembling the software or attempting to gain unauthorized access to the underlying code;
- Modifying or creating derivative works of the Services;
- Infringing our intellectual property rights or those of any third party in relation to your use of the Services (to the extent that such use is not licensed by these Terms);
- Transmitting harmful or malicious code or disrupting the integrity or performance of the Services;
- Using the Services for illegal or unauthorized purposes.
Client Account, Subscriptions, and Payments
- Free Trial Period: We offer a 14-day free trial period during which you have full access to all features. If you do not add a payment method within the 14-day trial period, your account will be automatically switched to our "Free" plan.
- Free Plan: Our "Free" plan has limitations on usage and is intended for demo purposes. If an account on the "Free" plan shows no activity for two consecutive months, it will be automatically deleted.
- Billing: For paid plans, the cost of the selected subscription (Monthly or Annually) will be automatically charged to the associated bank card.
- Subscription Cancellation: If you cancel a paid subscription, your account will be downgraded to the "Free" plan at the end of the current billing cycle (either month or year).
- Refund Policy: Payments for all subscription plans are non-refundable, as a 14-day free trial is provided to evaluate the service.
- Payment Processing: Payments for subscriptions and payments made by Guests are processed through a secure third-party payment processor. BEST OF YOU SRL does not store complete bank card data.
Intellectual Property
All proprietary content, trademarks, service marks, brand names, logos and other intellectual property displayed in the Services are the property of Oto QR and where applicable, third party proprietors identified in the Services.
Amendments to Terms
We reserve the right to modify these Terms at any time. Your continued use of the Services after any such changes take effect constitutes your acceptance of the new Terms.
Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Disclaimers & Limitation of Liability
Our Services are provided "as is" and "as available" without any warranties, expressed or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. In no event will Oto QR be liable for any indirect, incidental, special, consequential or punitive damages resulting from the use of or inability to use the Services.
Governing Law and Jurisdiction
These Terms are governed by the laws of Moldova without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
